The History

Wolverine Energy and Infrastructure is a diversified energy and infrastructure services provider headquartered in Nisku, Alberta with over 70 years of operating history. Wolverine commenced active business operations through a predecessor entity, Rig Services Equipment Ltd., in 1952 as an oilfield service provider. Over the course of its history, the Wolverine group of companies has pursued a unique strategy combining organic growth and accretive acquisitions.

Today, Wolverine is a full service, diversified service provider operating in two key segments: i) Energy Services (in both Canada and the United States), including water management, production testing, and oilfield rentals, and; ii) Infrastructure Services, including mulching, heavy equipment rentals, and construction services. Wolverine's operations are based in Western Canada and the United States.

Wolverine is strongly positioned to consolidate a highly fragmented energy services market in Canada and the US, while diligently focusing on return on capital deployed, market diversification and consistently delivering best in class services throughout the full life cycle of its diverse clients’ projects.

The History

Wolverine Energy and Infrastructure Inc. started out in 1952 as Rig Service Equipment – delivering great tools and great service to the industry. Along the way there have been many changes, business acquisitions and divisions. We have grown, developed and always strived to maintain our commitment to client satisfaction. The common ownership and operations made for a perfect situation to bring these companies together, offering exceptional benefits to all stakeholders. Now with the amalgamated group of companies we have the most diverse product offering and skill set in the over 70 year history of the company. This is the next big step for us and we look forward to another 70 years with our great clients.

  • Jesse Douglas - Executive Chair

    Mr. Douglas is the Founder, Controlling Shareholder, Director, and Executive Chair of Wolverine. Mr. Douglas has a wealth of expertise in acquiring and integrating accretive businesses and is passionate about entrepreneurship. Prior to founding Wolverine, Mr. Douglas studied business at the University of Alberta and served in executive positions in Alberta-based construction firms.

  • Shannon Ostapovich - President

    Mr. Ostapovich has served as the VP, Corporate Services and Capital Assets for Wolverine Energy and Infrastructure since 2016. Prior to this, the now President of Wolverine was the Founder and President of Wolverine Transport and Transport Rentals. Mr. Ostapovich brings with him a wealth of personal connections and relationships established throughout his 28+ years of experience operating in this sector. Mr. Ostapovich holds a Petroleum Engineering Applications Certificate from the Southern Alberta Institute of Technology, as well as a General Management Certificate from the University of Calgary.

  • John Paul Smith, General Counsel, Corporate Secretary

    Mr. Smith is the General Counsel, Corporate Secretary and Director of Capital Allocation for Wolverine. Mr. Smith has over 5 years of experience in legal private practice that was broadly focused on corporate commercial law, litigation, compliance and corporate governance. Prior to this, Mr. Smith worked with the legal group of a public oil and gas company and was an executive of a Calgary-based construction company. Mr. Smith holds two bachelor's degrees from the University of North Carolina at Chapel Hill and the University of Calgary, and a Juris Doctor degree from the University of Calgary.

  • Darrell Peterson, Independent Chair

    Mr. Peterson has significant experience in mergers, acquisitions and divestitures; equity and debt financings; and private equity investments. He has represented:

    - issuers of equity and debt in capital markets transactions, including primary and secondary initial public offerings, prospectus offerings, private placements, and seed and series financings;
    - private equity funds and investees in structuring (domestic and cross-border) and in industrial, energy and technology investments;
    - public companies and special board committees in negotiated and unsolicited M&A transactions;
    independent energy companies, energy services providers, and hydrocarbon upgrading and refiners in M&A, A&D, joint venture, partnership and financing activities; and
    - management in MBO and LBO transactions

    In M&A, Mr. Peterson has led or co-led some of the largest and most complex transactions in Western Canada, including Flint Energy Services' sale to URS; Deer Creek Energy Limited, on its negotiated takeover by Total E&P Canada Ltd.; and Iteration Energy Inc., on its sale to Chinook Energy Ltd. As well, Darrell advised Newalta Corporation on its "just-say-no" defense against an unsolicited offer by Canadian Crude Separators Inc.; Luscar Coal Income Fund on its defense to a hostile bid by Sherritt Coal Partnership; and Petrobank Energy and Resources Ltd. on its $1.76-billion opposed bid for Ranger Oil Ltd.

    In Corporate Finance, Mr. Peterson has led debt financings totalling over $8.0 billion; numerous initial public offerings and stock exchange listings of equity (national and cross-border, including MJDS); the creation and implementation of a number of equity lines of credit; and multiple private placement financings (brokered and unbrokered; national and cross-border).

    Mr. Peterson's private equity clients include a number of large and mid-cap U.S. and Canadian industrial, energy and technology funds. Darrell provides advice to these clients on fund structuring, investments in management teams and acquiring start-up or operating companies in Canada.

    Complementing his practice, Mr. Peterson is a holder of the Institute of Corporate Directors, Director Designation (ICD.D) and has also completed the Directors Financial Literacy and Board Oversight of Technology programs offered by the Institute of Corporate Directors, and the Evaluation of Oil & Gas Properties for Technical Professionals Certification course offered by Sproule International.

  • Jacquelyn Colville, Audit Chair

    Mrs. Colville is a CPA, CA, with extensive and successful experience in financial management, business leadership and directing strategy. Ms. Colville currently acts as Chief Financial Officer of Midnight Sun Financial, which invests in private opportunities, trades in foreign exchange and public markets, and offers innovative securities and derivatives. Her prior leadership experiences include CFO of Alberta Investment Management Corporation, Champion Petfoods and Sherritt Coal. Ms. Colville also holds the ICD.D designation and gives back to her community through her involvement with several not-for-profit boards including the Stollery Children's Hospital Foundation and the Health Quality Council of Alberta.

  • Dirk Lepoole, Independent Director

    Mr. LePoole is the President of Di-Corp, a role he has held since 2011 and is a current Director of the Petroleum Services Association of Canada. Prior to his current role as President, Mr. LePoole has held the roles of both VP of Marketing and VP of Operations. Mr. LePoole has a Bachelor of Arts (Economics) from the University of Alberta and an MBA from the University of Southern California.

  • Chris Hoose, Independent Director

    Christopher G. Hoose is a partner at Stillman LLP. Mr. Hoose carries on a general practice, with a focus on business law, real estate, personal injury, and corporate commercial litigation, generally. He has extensive experience at all levels of court in Alberta and can be called upon as an efficient and effective advocate in a wide variety of situations.

    Mr. Hoose also has experience assisting clients with a variety of business transactions. The needs of a business are complex and can vary at different stages of a business, from inception to sale thereof. Chris understands this and is ready to step in at whatever stages are required, to advise, advocate and draft that which a business might require.
    Mr. Hoose remains active in the community and is an avid golfer and coach of his children’s local ringette and hockey teams.
